Terms of Service

1. Acceptance of these terms

By creating an account or using Datagent AI (the “Service”), you agree to these Terms of Service. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization, and “you” refers to it.

2. Your account

You are responsible for your credentials and for all activity under your account. Keep your password secure, enable two-factor authentication where possible, and notify us promptly of any unauthorized use.

You must be at least 16 years old and provide accurate registration information.

3. Workspaces and roles

Workspaces are shared environments. Workspace owners and admins control membership, roles, connections, and billing for their workspace. Actions taken by members within their assigned role are the workspace's responsibility.

4. Database connections

You may only connect databases you own or are authorized to access. Connections run read-only by default; any write or destructive operation requires explicit confirmation and an appropriate role. You remain responsible for the queries you and your members run against your own databases.

Connection credentials are encrypted at rest (AES-256-GCM) and are never returned to the browser or written to logs.

5. AI features and credits

AI features (SQL Copilot, schema docs, health advice, and autonomous agents) consume AI credits. Monthly plan credits reset each billing month and do not roll over; purchased top-up packs never expire. Credits are not redeemable for cash.

AI output is generated automatically and may be inaccurate. You must review AI-generated SQL and reports before acting on them. The Service never executes AI-generated statements without your confirmation, but the decision to run them is yours.

6. Plans, billing, and cancellation

Paid plans are billed in advance through our payment provider (Razorpay) on a recurring basis until cancelled. If your subscription is paused or cancelled, your workspace falls back to the Free plan and its limits — paid features pause accordingly.

Fees are non-refundable except where required by law. We may change prices with at least 30 days' notice; changes apply from your next billing cycle.

7. Acceptable use

• No accessing databases or data you are not authorized to access.
• No attempts to probe, breach, or circumvent the Service's security or rate limits.
• No use of the Service to develop a competing product by systematic extraction.
• No unlawful, infringing, or abusive content or activity.

8. Your data and ownership

Your databases, schemas, query results, and documents remain yours. We claim no ownership over them. You grant us only the limited rights needed to operate the Service — e.g., transmitting your queries to your database and showing you the results.

9. Disclaimers and limitation of liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, our aggregate liability for any claim arising out of the Service is limited to the amounts you paid us in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages, including data loss in your connected databases.

10. Termination

You can delete your account at any time. We may suspend or terminate accounts that violate these terms, with notice where practicable. On termination, your stored metadata is deleted within 30 days, except where retention is legally required.

11. Changes to these terms

We may update these terms from time to time. Material changes will be announced by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
